Terms and Conditions for the Use of "CODEIT" Software and Systems
Subscription and Use Agreement
These Terms and Conditions constitute a formal agreement between the User and
Code for Communications and Information Technology Company
, a single-person limited liability company registered under Commercial Registration No. (1010739970), headquartered in the city of Riyadh. The User accepts these Terms and Conditions by subscribing to and/or using the services provided by Code for Communications and Information Technology Company, and thereby acknowledges unconditional acceptance of, and commitment to, everything contained herein. The User also acknowledges having read and understood the Privacy Policy and all other applicable policies published on the official channels of Code for Communications and Information Technology Company.
By completing the registration steps, the User confirms that they possess the legal capacity and authority to contract, that they are not in violation of any laws or contracts, that CODEIT has never previously suspended, prevented, or disabled their use of the services at any time, that they are not a competitor of CODEIT system and programs, and that they do not offer any product competing with the services provided by CODEIT.
Definitions

Developer/Operator:
Code for Communications and Information Technology Company, as the owner, developer, and operator of CODEIT system.

CODEIT:
The cloud-based point-of-sale (cashier) system issued by, owned by, or operated by Code for Communications and Information Technology Company.

Tickets:
Requests, complaints, or inquiries recorded in the system relating to customer service.

Modules:
Parts of the system activated according to the selected package, including for example: Customers, Sales, Purchasing Management, Inventory Management, Accounting, and Reports modules.

User:
Any natural or legal person who uses and/or subscribes to CODEIT's software services, i.e., the account holder.

Third Party:
Any party outside the contractual relationship between CODEIT and the User, whether a member of the User's group, a service provider, or any other natural/legal person.

System/Software:
The software, applications, and services provided by CODEIT and subscribed to/used by the User according to the packages specified on the website.

Regulations:
All laws and regulations in force in the Kingdom of Saudi Arabia.

License:
The permission granted by CODEIT to the User to use the software and services under the terms set out in this Agreement. This license is non-exclusive, non-transferable, non-sublicensable, and limited to lawful use only.

Authorization:
Where certain services require additional authorization to use specific system functions (such as authorization to access APIs or certain data), this term refers to any specific approval granted by the Company to use particular features.

Training:
All training activities and services provided by the Company to the User or its representative, whether in-person or remote, related to the use and operation of the CODEIT system, including without limitation practical demonstrations, instructional materials, operating manuals, or any other training content provided by the Company in accordance with its approved policies.

Account:
The phone number and email address registered in the User's name on the CODEIT platform, which grants access to services according to the chosen subscription.

Services:
All features, functions, support, updates, and any other services provided by CODEIT to its users through its systems and software.

Subscription:
The usage plan chosen by the User to access CODEIT's services, which is paid in accordance with the terms and conditions set out in this Agreement.

Trial Subscription:
The defined period during which the User may try the services free of charge before moving to a paid subscription, subject to specific terms and conditions.

Data:
Any information or content entered, uploaded, or shared via the CODEIT system by the User, including financial data, sales transactions, inventory details, and administrative records.

Content:
All information, text, graphics, images, documents, software, and other content provided by CODEIT within its services.

Authorized User:
Any other person granted permission to use the primary User's account according to specific permissions determined by the account holder; "all provisions applicable to the User apply to the Authorized User."

Updates:
Any modifications, improvements, or upgrades made to CODEIT's services or software, which may include fixes, new features, or security enhancements.

Technical Support:
Services provided by CODEIT to help users resolve technical issues, which may include troubleshooting and assistance with usage.

Fees:
Any monetary amounts payable by the User in exchange for the subscription or additional services provided by CODEIT, subject to the terms set out in the Payment Policy.

Account Suspension:
The action taken by CODEIT to disable or restrict the User's access to the services due to a violation of the terms of use or non-payment of fees.
Obtaining a License to Use CODEIT
The User is granted a non-exclusive license by CODEIT, which is non-assignable, non-transferable, irrevocable (by the User), and cannot be sublicensed under any circumstances. This license enables the User to enjoy the benefits and services of the software according to their chosen subscription. Accordingly, the User is obligated to refrain from any of the following actions:

Making any change, modification, deletion, or other alteration to any copyright.

Deliberately transferring or distributing the services, or allowing the services to be downloaded for use other than as specified in this Agreement, for purposes other than their intended use, or in a manner inconsistent with the design of CODEIT's software.

Claiming to grant the services or allowing access to them by any unauthorized third party.

Modifying, excerpting, translating, summarizing, or creating a derivative work based on decompiling or reverse engineering the design of the CODEIT system, or otherwise identifying or attempting to identify or access the source code or internal design of the services, or any text, multimedia (images, audio, video files), data, or other information provided by the CODEIT system or by third-party service providers affiliated with CODEIT.

Allowing the username, password, or any other means that grants access to CODEIT system services to be shared with any third party.

Taking any action that could affect the operation of the services or the activities applied to CODEIT system services.

Using the system to send or store sensitive data or data in violation of applicable regulations, or for unlawful marketing purposes.

Using the system to store or process data of individuals/entities without their consent.
-
Integrating the system with external marketing platforms or email services without prior authorization from CODEIT.
Use of CODEIT Services
Simply by using and/or subscribing to CODEIT system services, the User agrees to and is bound by the following:

Complying with all applicable laws and regulations in force in the Kingdom of Saudi Arabia.

Providing true and complete information about themselves, without impersonation or misrepresentation of their identity, and providing all supporting documentation as required by CODEIT.

Using the system lawfully and within its intended scope, without causing harm to others.

Following notifications or updates issued by CODEIT.
-
Regularly updating the User's own data and information to ensure its accuracy and correctness.

Correctly adding the establishment's data and tax certificate data.
-
Keeping the account password or any other credentials that allow secure and confidential access to the account.
-
Not using CODEIT for suspicious, illegal, or fraudulent purposes.
-
Not engaging in acts that would disrupt or damage the operation of CODEIT.
-
Not misusing CODEIT or engaging in acts that would obstruct its operation.
-
Not republishing, redistributing, or copying CODEIT materials and related content without prior written approval and permission from CODEIT.
-
Not commercially exploiting any of CODEIT's services and not making these services available to any third party in any manner, including without limitation resale, leasing, renting, distribution, or sublicensing.

Not enabling any third party to use the User's subscription for any reason whatsoever.
Amendments and Changes to CODEIT System

CODEIT has the right to amend, change, replace, suspend, or discontinue any of the User's terms herein, at its sole discretion and will, at any time, by posting a notice on the website or sending a notice to the User through the system/application, notifications, or the registered email or postal address.

CODEIT has the right, at its sole discretion, to discontinue publishing its services at any time. Should CODEIT decide to discontinue publishing its services, it has the right, at its sole discretion, to replace the services with other similar materials.

All amendments and changes to CODEIT are subject to the current terms without requiring additional approval from the User.
Privacy and Security of the User's Login Information

The User acknowledges sole responsibility for the privacy of their account and its use, and that they alone are responsible for keeping their login information confidential at all times. If the User's login information is used by any third party to access the services, CODEIT will presume the access to be authorized, meaning the User is deemed aware of and to have consented to such access and use. The User also acknowledges the obligation to notify CODEIT immediately upon becoming aware of any unauthorized login, or upon learning of any actual or potential loss, theft, or misuse of an IP address, or any other means of accessing the services.

The User acknowledges responsibility for the confidentiality of customer data and agrees not to share it with any third party. CODEIT bears no liability for any leakage or loss of data resulting from the User's negligence or weak account security. The User also undertakes to obtain their customers' consent before entering, storing, or using their data within the system.
Dealing with Third Parties
While using the website and the Service, links to websites owned and controlled by a third party may occasionally be provided for correspondence, purchasing products, or participating in promotional offers offered by that third party. These links take the User outside the website and the CODEIT system and are beyond CODEIT's control. It is the User's responsibility to verify such links and their terms and privacy policies. The User alone bears full responsibility for any consequences resulting from visiting or accessing those websites, since the websites reached via such links have their own independent terms and conditions and independent privacy policies. CODEIT bears no responsibility for the content or activities of those websites and cannot be held accountable for them.
We recommend that the User review the terms of use or privacy policies found on any third-party websites before using them, as those other websites may send their own cookies to users, collect their data, or request personal information.
Term of the Agreement

The agreement concluded between the User and CODEIT remains in effect for the entire duration of the subscription plan chosen by the User.

CODEIT reserves the right to suspend and terminate the Agreement entirely at any time and without prior notice, by disabling the User's account, in the event of any breach or violation of the User's Terms and Conditions and Privacy Policy, or in the event of misuse of the Service.

CODEIT reserves the right to suspend and terminate the Agreement entirely at any time and without prior notice, by disabling use of the Service, upon expiry of the fourteen-day grace period specified for payment following the fee due date.

The User has the right to terminate the Agreement by closing their own account at any time, in which case they acknowledge that they are not entitled to a refund of any amounts.
Payment Provisions

CODEIT may change and update prices whenever it wishes, and it is the User's responsibility to monitor and keep informed of the current prices of the services provided, through the pricing section.

Once CODEIT provides the service, the User must pay the value of the services immediately, according to the specified payment methods.

The User alone bears responsibility for paying the full fees on their due date, without delay or procrastination, and acknowledges that any amount paid is non-refundable.

If the User fails to pay the subscription renewal fee due, CODEIT grants the User a grace period of up to fourteen days before suspending their use of the Service and the data stored on it.
Shipping, Delivery, and Installation

Delivery of orders is available only for services or products that require shipping, such as point-of-sale devices and others. All orders from the CODEIT website are shipped via courier or any other shipping company approved by CODEIT. Code strives to have your product reach you as quickly as possible, with delivery not exceeding 4 to 5 business days, depending on the city. The User must inspect the shipment upon receipt and notify the shipping company of any visible damage, or within 12 hours of delivery if the damage is not apparent.

The User can easily install the devices by following the steps in the catalogue included with the product. In case of any difficulty or inquiry, the User may contact technical support for assistance.
CODEIT is not responsible for delays resulting from inaccurate data, customs procedures, or any circumstances beyond its control. If the User fails to accept or collect the order from the shipping carrier within three (3) months, the shipping company may deal with the shipment in accordance with its own policies, and additional reshipping fees may apply.
Refund Policy

The customer has the right to request a refund only during the trial period; no refund request will be accepted after it ends.

Code undertakes to refund amounts paid for products or services within a period not exceeding fourteen (14) business days from the invoice date, in accordance with the provisions of this policy.

Acceptance of a return request is conditional upon the devices being returned within a maximum of five (5) business days from the date the return request is approved and the devices must be in sound condition, free of any damage, with all original accessories included.

In the event of a breach of any of the above conditions, the Company has the right to deduct the actual value of the devices as shown in the invoice or the price published on the website, including devices provided free of charge or granted at a discount as part of a package.

The "Munsha'at" packages and offers are excluded from the provisions of the refund and return policy and no claim may be made for a refund of their value.

The customer's right to return the devices and receive a refund shall lapse if the trial period expires without a request being submitted, or if the devices are not returned within five (5) business days from the date the return request is approved.

The refund and return policy does not apply to promotional offers or special discounts.
Legal Liability

The information, recommendations, and services provided to the User via the website or through the Service are intended to provide general information about the system and how to use it and do not, under any circumstances, constitute a substitute for specialized consultation. CODEIT makes every effort to ensure the accuracy and continuous updating of the website's and Service's content but seeks to keep the content free from unintentional errors or technical inaccuracies rather than guaranteeing this outcome.

CODEIT bears no responsibility for any damages resulting from the use, or inability to use), electronic means of communication with the website or the Service, including without limitation damages resulting from failure to deliver electronic correspondence, delays in its delivery, its interception, third-party electronic correspondence, or computer programmes used for electronic correspondence and the transmission of viruses.

CODEIT strives to make its electronic services available around the clock, seven days a week (24/7), and works to provide the best possible user experience. However, temporary interruptions may occur due to scheduled or urgent maintenance, updates, or the introduction of new features intended to improve the Service, without affecting CODEIT's commitment to the continuous development and ongoing availability of the system.

CODEIT bears no responsibility for the financial or marketing results arising from the use of the system and the User alone bears responsibility for the accuracy of content, correspondence and marketing campaigns. CODEIT is likewise not responsible for errors or malfunctions caused by third parties or external integrations.
Data and Privacy

CODEIT system undertakes to take appropriate technical and organizational measures to protect the User's data processed through the system. The User acknowledges that certain data, such as sales transaction data and inventory details, is collected, stored, and used for the purpose of operating the system and providing its associated services, including service improvement and communication and marketing purposes, in accordance with applicable regulations.

CODEIT system will not share the User's data with third parties without the User's prior explicit written consent, except as required by applicable regulations.

CODEIT system has the right to conduct studies and statistics based on the User's sales data, without details or identification, for marketing purposes.
Warranty and Disclaimer
CODEIT warrants that the system will operate effectively as described in its documentation, except as expressly provided herein. CODEIT provides no warranties, express or implied, regarding the system, including without limitation its fitness for a particular purpose, merchantability, non-infringement, or the achievement of specific results.
Scope of CODEIT's Liability

CODEIT bears no liability toward the User or any third party for direct, indirect, incidental, special, consequential, or punitive damages arising from use of the system, including without limitation: use of the Service or inability to use it, whether wholly or partially; technical malfunctions; unauthorized access to the User's communications and data; or the conduct of any third party in connection with CODEIT services.

CODEIT bears no liability for claims arising from third-party products or services, including devices, software, and services.

CODEIT does not guarantee or endorse any products, software, or devices provided by third parties.

CODEIT makes no express or implied warranties relating to the services, all of which are provided "as is."

CODEIT expressly disclaims, to the maximum extent permitted by applicable regulations, all warranties, including without limitation warranties of fitness for particular activities, fitness for particular specifications or markets, and fitness for particular countries.

CODEIT strives to provide its services in the best possible manner; however, it makes no guarantees regarding the accuracy of content or the results the User may achieve through use of the services, as results may vary depending on the nature of use and operational circumstances.

CODEIT, its agents, licensors, or affiliated companies shall in no event be liable for direct damages, penalties, special damages, or incidental damages arising directly or indirectly from access to or use of the services, failure to use them, or reliance upon them.
In all cases, CODEIT's maximum aggregate liability under these provisions, or in connection with them, or arising from use of CODEIT's services, is limited to the value of the payments made by the User during the preceding twelve (12) months only.
Indemnification
The User's agreement to these Terms and Conditions and their use of CODEIT system services constitutes an undertaking to bear legal responsibility for any damage or claim arising from their use of the Service in a manner that violates these Terms or applicable regulations. The User also agrees not to hold the CODEIT system, its affiliated or licensed companies, or any of their officers, employees, or agents, liable for such claims or damages. This includes, without limitation, any claims, losses, costs, or expenses (including attorneys' fees) arising from or related to any of the following:

The User's breach or violation of any term of these User Terms.

The User's breach or violation of any applicable law, regulation, or bylaw, whether or not referenced in these Terms and Conditions.

The User's violation of the rights of others, including service providers regulated by the CODEIT system service.

The User's misuse of CODEIT system services.
Support and Maintenance
CODEIT system undertakes to provide technical support and maintenance for the system throughout the subscription period, which includes software updates, fixes, and assistance with troubleshooting. The User will be notified in advance of any potential service interruptions during the support and maintenance period. The User must promptly report any system issues to ensure timely resolution. If it is discovered that faults or damages resulted from the User's negligence and/or interference, the User bears the cost of repair. Technical support does not include preparing or designing marketing campaigns or correcting commercial data.
Intellectual Property Rights
All intellectual property rights in these services and related materials, or materials appearing on them — including any content provided or included by us — belong to the CODEIT system. The User must not reproduce the services or allow any person, for any reason, to use or reproduce the services or any trademarks or other trade names appearing in the services.
Copying, reusing, or publishing any content or design belonging to the system without prior written permission from the Company is prohibited.
Disputes and Governing Law
In the event of any dispute between the parties regarding these provisions or any future version thereof, either party must submit a notice describing the nature and details of the dispute. Within ten (10) business days of receiving the dispute notice, both parties must meet to attempt to resolve the dispute amicably. If the dispute is not resolved amicably within twenty (20) business days of receiving the dispute notice, either party, after notifying the other party, must refer the dispute to a mediator. If the dispute is not resolved within twenty (20) days through the mediator, the dispute shall be referred to arbitration in accordance with the Saudi Arbitration Law, with the seat of arbitration being the city of Riyadh, Kingdom of Saudi Arabia.
Notices
CODEIT system may send notices by any means available to it, whether through the system, by a general notice regarding the Service, by email, text message, or by ordinary mail correspondence, in accordance with the User's account information registered with the CODEIT system.
General Provisions

The invalidity of any one or more provisions of these User Terms shall not affect the validity of the remaining provisions contained herein.

CODEIT system has the right to retain any personal information belonging to the relevant customer in its database for a period of 5 years, starting from the date of cancellation, whether the cancellation was requested by the customer or made at the discretion of the CODEIT system.

The CODEIT system has the right to refuse to provide the service or refuse the use of the system without stating any reasons.

The CODEIT system has the right, at its absolute discretion, to terminate or refuse to approve any registration with the CODEIT system without reason or notice.
-
The User bears any fines or consequences resulting from the User's failure to include and attach the establishment's data and tax certificate data, or from submitting such data incorrectly.

CODEIT system has the right to use and include the User's trade name or trademark within its list of clients, during and after the termination of the Agreement, for an unlimited period.

Users who obtain the free trial "in accordance with the features and duration specified on the official website" are subject to the Terms and Conditions of this Agreement.

By agreeing to the User Terms and Conditions, the User acknowledges that the limit of the CODEIT system's responsibility for data retention is twenty-one (21) days for paid subscriptions, after which the CODEIT system has the right to completely delete this data from its server and dispose of it through lawful means.

When the User obtains a point-of-sale device, whether as part of a chosen subscription package or through direct purchase from CODEIT, the User has the right to request replacement of the device in case of a manufacturing defect, within a maximum period of three (3) days from the date of receipt. In this case, the User must contact CODEIT to process the request, either through direct replacement or coordination with the relevant supplier, as deemed appropriate. After this period elapses, warranty or maintenance requests will be handled according to the policies approved by the supplier.

The User acknowledges that they are solely responsible for all data or information entered through CODEIT and bears full responsibility for any results or outputs arising from such input. The User also bears the duty of verifying the correctness of the outputs and ensuring their accuracy before using or relying on them. If any error or defect is discovered in the outputs, the User undertakes to notify CODEIT immediately so that the necessary measures can be taken, without this creating any obligation or liability on the part of CODEIT for damages resulting from such outputs.

The User acknowledges having reviewed all the specifications and features of CODEIT and having verified their suitability for the User's needs and business requirements before use. The User further acknowledges that their use of the program is based on full knowledge of these specifications and features, without any additional warranties beyond those expressly set out in these Terms and Conditions. Accordingly, CODEIT is not responsible for any expectations or requirements inconsistent with what has been stated regarding the characteristics of the program or its services.

The User acknowledges being aware that issuing invoices through CODEIT while in offline mode (not connected to the internet) requires reconnecting to the internet from the same device used, in order to ensure correct synchronization with the system and with the Zakat, Tax and Customs Authority. The User further acknowledges that if they log in to the program from a different device before the synchronization process is completed, this will inevitably result in the loss of invoices issued while offline, and the User alone bears full responsibility for this. Accordingly, CODEIT is not responsible for any loss or damage to data resulting from use inconsistent with this provision regarding offline use.
